Resolución de 7 de marzo de 2024, de la Secretaría General, por la que se da publicidad al Convenio entre la Consejería de Cultura, Turismo, Jóvenes y Deportes de la Junta de Extremadura (Reino de España) y la Boris Lurie Art Fundation, para el intercambio de cartas.

Habiéndose firmado el día 5 de diciembre de 2023, el Convenio entre la Consejería de Cultura, Turismo, Jóvenes y Deportes de la Junta de Extremadura (Reino de España) y la Boris Lurie Art Fundation, para el intercambio de cartas, de conformidad con lo previsto en el artículo 8 del Decreto 217/2013, de 19 de noviembre, por el que se regula el Registro General de Convenios de la Administración de la Comunidad Autónoma de Extremadura,

RESUELVO:

La publicación en el Diario Oficial de Extremadura del Convenio que figura como anexo de la presente resolución.

La Boris Lurie Art Foundation, como propietaria del Archivo Boris Lurie Arte Foundation, con el n.º corporativo 5777353, según el artículo 388 de la Ley General de Sociedades del Estado de Delaware (EEUU) y dirección postal: 120 Brighton Road, Unit 4, Clifton, NJ 07012 USA, representada por D. Anthony Williams, Presidente de la Fundación de Arte Boris Lurie, de una parte,

Y

La Consejería de Cultura, Turismo, Jóvenes y Deportes de la Junta de Extremadura (Reino de España) como propietaria del Archivo Happening Vostell con dirección postal en Carretera de Los Barruecos s/n. 10910 Malpartida de Cáceres (Cáceres, España), representada por D. José Luis Gil Soto, Secretario General de la Consejería de Cultura, Turismo, Jóvenes y Deportes de la Junta de Extremadura, cargo que ostenta en virtud de nombramiento efectuado por Decreto 97/2023, de 28 de julio (DOE núm. 146, de 31 de julio de 2023), actuando en el ejercicio de las competencias que tiene atribuidas por el Decreto 77/2023, de 21 de julio, por el que se establece la estructura orgánica básica de la Administración de la Comunidad Autónoma de Extremadura (DOE núm. 145, de 28 de julio) y por Resolución de 2 de agosto de 2023, de la Consejera, por la que se delegan competencias en diversas materias (DOE núm. 151, de 7 de agosto).

Cada una de ellas, en adelante, La Parte o las dos juntas como Las Partes,

Considerando que:

— Boris Lurie y Wolf Vostell (en adelante, Los Autores) son los autores de las cartas guardadas en los archivos de cada una de Las Partes,

Sin error, coacción o fraude, toman parte del siguiente Convenio (en adelante, El Convenio):

1. Objeto del Convenio.

1.1. Las Partes intercambian los archivos digitales (TIF, en tamaño mínimo de 5 MB) de las cartas de Los Autores (en adelante, Las Cartas; ver Anexo 1 para la lista de Las Cartas de Boris Lurie y Wolf Vostell). Éstas serán intercambiadas con los siguientes fines:

— Incluir Las Cartas en el archivo de la otra Parte, proporcionando su accesibilidad en futuras investigaciones.

— Usar Las Cartas en publicaciones hechas exclusivamente en un marco de investigación.

— Las Partes, por la presente, permiten la una a la otra publicar, distribuir y usar Las Cartas con cualquier finalidad no comercial.

— Las Cartas sólo podrán ser publicadas con permiso de los titulares de los derechos de autor.

1.2. Con motivo de la reproducción de Las Cartas en cualquier publicación, prensa o material educativo, cada Parte está obligada a indicar el archivo original del que procede, y proporcionar a éste una copia de la publicación.

2. Naturaleza Jurídica.

Este convenio tiene naturaleza administrativa y se rige por lo dispuesto en la Ley 40/2015, de 1 de octubre, de Régimen Jurídico del Sector Público.

El presente convenio queda excluido del ámbito de aplicación de la Ley 9/2017, de 8 de noviembre, de contratos del Sector Público, por la que se trasponen al ordenamiento jurídico español las Directivas del Parlamento Europeo y del Consejo 2014/23/UE y 2014/24/UE, de 26 de febrero de 2014, en virtud de lo dispuesto en su artículo 6.

3. Responsabilidades de Las Partes.

3.1. En el punto 1 del Convenio, Las Partes intercambian y transfieren una copia digital de Las Cartas para la realización de las actividades especificadas en este Convenio. La lista de Las Cartas de Boris Lurie y Wolf Vostell está incluida en el Anexo 1 de este Convenio y forma parte integrante del mismo.

3.2. Las Cartas pueden ser usadas solamente como se describe en el punto 1 del Convenio.

3.3. Las Partes utilizarán sus propios medios para lograr los objetivos expuestos en el punto 1 de este Convenio. Ello no es óbice para que pueda existir algún tipo de colaboración entre Las Partes para conseguir dichos objetivos.

4. Comisión de Seguimiento.

Para velar por el buen desarrollo del Convenio y resolver cualquier controversia que pueda darse en su ejecución se creará una Comisión Mixta Paritaria formada por Gertrude Stein y Anthony Williams y por José Antonio Agúndez García y Ana Isabel Jiménez del Moral, representantes de cada una de Las Partes.

5. Causas de rescisión.

Serán causas de rescisión del presente Convenio:

— El mutuo acuerdo de Las Partes.

— La resolución unilateral, mediante notificación por escrito a la otra Parte con una antelación mínima de seis meses.

— El incumplimiento por alguna de Las Partes de las cláusulas del Convenio.

— El transcurso del plazo de vigencia del Convenio sin haberse acordado la prórroga del mismo.

6. Jurisdicción.

Cualquier cuestión que se suscite en cuanto a la aplicación, interpretación y efectos del presente Convenio, que no haya podido ser dirimida por la anterior comisión, se resolverá de acuerdo con la Ley 29/1998, de 13 de julio, reguladora de la Jurisdicción contencioso-administrativa, para lo cual la Fundación Boris-Lurie se somete a los Juzgados y Tribunales de España.

7. Vigencia.

El presente Convenio producirá efectos desde la prestación de consentimento por Las Partes y tendrá una vigencia de 4 años pudiendo ser prorrogado por un periodo de hasta cuatro años, mediante acuerdo de Las Partes mediante la suscripción de adenda con anterioridad a su extinción.

8. Varios.

a. Firmando este Convenio, Las Partes confirman que entienden y están conformes con todos los términos del mismo.

b. Este Convenio no comporta compromisos económicos para ninguna de Las Partes.

c. Este Convenio consta de diez páginas, (incluyendo Anexos), en dos.

d. copias bilingües español/inglés, una para cada una de Las Partes.

AGREEMENT BETWEEN THE REGIONAL MINISTRY FOR CULTURE, TOURISM AND SPORTS OF THE REGIONAL GOVERNMENT OF EXTREMADURA (KINGDOM OF SPAIN) AND THE BORIS LURIE ART FOUNDATION, FOR THE EXCHANGE OF LETTERS.

And

The Regional Ministry for Culture, Tourism and Sports of the Government of Extremadura (Kingdom of Spain) as owner of Happening Vostell Archive, with postal address at Carretera de Los Barruecos, s/n. 10910 Malpartida de Cáceres (Cáceres, Spain), represented by D. José Luis Gil Soto, acting on behalf of the aforementioned AHV, by virtue of the powers authorized by her appointment as Secretary-General of Regional Minister for Culture, Tourism, Youth and Sports, made by Decree of the President of the Government of Extremadura 97/2023, of July 28 (DOE núm. 146, of July 31), acting in the exercise of the powers conferred by Decree 77/2023, of July 21, establishing the basic organic structure of the Administration of the Autonomous Region of Extremadura (DOE núm. 145, of July 28), and by Resolution of August 2, 2023, of the Regional Minister, delegating powers in various matters (DOE núm. 151, of August 7).

Each separately hereinafter referred to in this agreement as The Party, or both together as The Parties;

Whereas:

— Boris Lurie and Wolf Vostell (hereinafter The Authors) are the authors of letters kept in The Parties archives,

Without mistake, duress or fraud have entered into the following agreement (hereinafter The Agreement):

1. The Agreement Subject.

1.1. The Parties shall exchange the digital files (as TIF files, in minimal size of 5 MB) of the Authors Letters (Hereinafter The Letters; see Annex 1 for the List of The Letters by Boris Lurie and Wolf Vostell). The Letters shall be exchanged with the following purposes:

— Include The Letters in the archive of the other Party, providing accessibility for future research;

— Use The Letters in publications only made in framework of research.

— The Parties, hereby, allow each other to publish, distribute and use The Letters for any non-commercial purposes.

— Letters only can be published with permission of the Authors' copyrights holders.

1.2. On the occasion of reproduction of the Letters in any publication, press or educational materials, each Party is obliged to indicate their original Archive, and to supply each other a copy of the publication.

2. Legal Nature.

This agreement is of an administrative nature and is regulated by the provisions of Law 40/2015, of 1 October, on the Legal Regime of the Public Sector.

This agreement is excluded from the scope of application of Law 9/2017, of 8 November, on Public Sector Contracts, transposing into Spanish law the Directives of the European Parliament and of the Council 2014/23/EU and 2014/24/EU, of 26 February 2014, by virtue of the provisions of Article 6 thereof.

3. Liabilities of The Parties.

3.1. Pursuant to Article 1 of The Agreement, The Parties shall exchange and transfer the letters for the specified purposes in this Agreement. The list of The Letters Is included in Annex 1 of this Agreement and it is an integral part of the Agreement.

3.2. The Letters may be used only as described in Article 1 herein.

3.3. The Parties will use their own resources to achieve the objectives set out in Article 1 herein.

4. Monitoring Committee.

In order to ensure the proper development of the Agreement and to resolve any controversy that may occur during its execution, a Joint Commission will be created, formed by Gertrude Stein and Anthony Williams and by José Antonio Agúndez García and Ana Jiménez del Moral, representatives of each of The Parties.

5. Causes for termination

The following shall be causes for termination of this Agreement:

— The mutual agreement of The Parties.

— The unilateral termination, by means of written notification to the other Party with a minimum notice of six months.

— The non-compliance by any of the Parties of the clauses of the Agreement.

— The expiration of the term of the Agreement without having agreed to extend it.

6. Jurisdiction.

Any question that may arise regarding the implementation, interpretation and effects of this Agreement, which could not be settled by the aforementioned commission, shall be resolved in accordance with Law 29/1998, of July 13, 1998, regulating the Contentious-Administrative Jurisdiction, for which the Boris-Lurie Foundation submits to the Courts and Tribunals of Spain.

7. Validity.

This Agreement shall be effective from the date of consent of The Parties and shall be valid for a period of 4 years and may be extended for a period of up to four years, by agreement of The Parties by means of the subscription of an addendum prior to its termination.

8. Miscellaneous

a. By signing this Agreement, The Parties confirm that they understand and agree with all the terms of this Agreement.

b. This Agreement does not entail economic commitments for any of The Parties.

c. This Agreement consists of ten pages, (including Annexes), in two bilingual Spanish/English copies, one for each of The Parties.
